Chief Financial Officer | U.S. Public Mining Company | Western United States
Executive Agility is seeking expressions of interest from experienced Chief Financial Officer candidates for a confidential U.S. publicly listed mining company. This is a permanent executive appointment with a cash salary & equity participation package.
The successful candidate will be based in the Western United States, with Denver, Colorado or another practical Western U.S. location preferred. The role requires prior CFO-level experience with a U.S. publicly listed company, mining-sector experience or a substantive mining background, & hands-on command of SEC reporting, PCAOB audits, SOX compliance & public-company financial controls.

🔷 THE CLIENT PROFILE
Our client is an established U.S. publicly listed mining company with operations in the Western United States. The company requires a commercially minded, technically strong CFO who can partner with the Chairman, Board, CEO & executive team while maintaining rigorous public-company reporting, audit & compliance disciplines.
The mandate requires capability across:
✔ SEC financial reporting & continuous disclosure, including Forms 10-K, 10-Q & 8-K
✔ PCAOB audit planning, execution & auditor relationship management
✔ SOX 302 / 404, disclosure controls & procedures, & internal-control remediation
✔ U.S. GAAP technical accounting, financial statements & management reporting
✔ Board & Audit Committee reporting, governance & risk oversight
✔ Treasury, liquidity, budgeting, forecasting & capital allocation
✔ Mining operations, project economics, cost control & operational finance
✔ Capital markets, investor engagement & equity-based compensation.
🔷 THE ROLE
The Chief Financial Officer will:
✔ Own the integrity, timeliness & quality of all financial reporting & SEC filings
✔ Lead the annual PCAOB audit & quarterly review process
✔ Maintain & strengthen SOX-compliant internal controls & disclosure controls
✔ Serve as the principal financial adviser to the Chairman, Board, Audit Committee & CEO
✔ Lead budgeting, forecasting, treasury, cash management, capital planning & performance reporting
✔ Build a disciplined finance operating cadence aligned with mining operations & corporate objectives
✔ Coordinate effectively with external auditors, securities counsel, tax advisers, bankers & other capital-markets stakeholders
✔ Evaluate financing alternatives, capital requirements, strategic transactions & equity-compensation implications
✔ Develop & lead a capable finance team & ensure clear accountability across accounting, reporting & controls.
🔷 ESSENTIAL EXPERIENCE
✔ Prior experience as Chief Financial Officer of a U.S. publicly listed company
✔ Mining experience or a substantive mining-sector background
✔ Hands-on SEC reporting experience, including Forms 10-K, 10-Q & 8-K
✔ Direct experience leading or managing audits performed under PCAOB standards
✔ Strong SOX 302 / 404, internal-controls & disclosure-controls experience
✔ Deep U.S. GAAP & public-company technical accounting capability
✔ Demonstrated experience partnering with Boards & Audit Committees
✔ Western United States location or willingness to be based in a practical Western U.S. location.
🔷 HIGH-VALUE EXPERIENCE
✔ Underground mining operations or underground mine-development experience
✔ Denver, Colorado or broader U.S. mining-market experience
✔ NYSE American, NYSE or Nasdaq listed-company experience
✔ Capital raising, debt & equity financing, M&A or strategic transaction experience
✔ Mining cost accounting, reserve-related disclosures, impairment analysis, asset-retirement obligations & technical-report coordination
✔ Experience strengthening finance functions, ERP systems, close processes & public-company controls
✔ CPA or equivalent accounting qualification; MBA or other relevant postgraduate qualification.

✔ You are prepared to operate hands-on while building the systems, team & cadence required for scalable execution
✔ You exercise sound judgement, confidentiality & accountability in a high-visibility listed-company environment.
